TERMS

Article 1 (Purpose)

 The NEWJI Terms of Use (hereinafter referred to as "these Terms") establish the conditions for the use of all services provided by NEWJI Corporation (hereinafter referred to as "the Company") between the Company and the users of the services (hereinafter referred to as "Users").

Article 2 (User Consent)

  •  Users may only use the Services by providing valid consent to comply with these Terms and any additional terms established under these Terms (hereinafter referred to as "Individual Terms").
  •  Users are deemed to have provided valid consent to comply with these Terms and Individual Terms upon commencing the use of the Services.
  •  If the User is a corporation, it is assumed that the User has obtained valid consent from its representative to comply with these Terms and Individual Terms.
  •  If the User is a minor, it is assumed that the User has obtained valid consent from their legal guardian to comply with these Terms and Individual Terms.

Article 3 (Individual Terms)

 In the event of any discrepancies between these Terms and Individual Terms, the provisions of the Individual Terms shall take precedence.

Article 4 (Amendments to Terms)

  •  The Company reserves the right to amend these Terms and Individual Terms without prior notice to Users.
  •  Amendments to these Terms or Individual Terms will take effect when the updated content is clearly and readily available on the website where the Services are provided.
  •  Users are deemed to have provided valid consent to the amended Terms or Individual Terms if they continue to use the Services after the amendments take effect.

Article 5 (Service Agreement)

  •  A service agreement between the Company and the User is deemed to be established upon the completion of the user registration procedure specified by the Company. The content of the agreement will depend on the details specified during the registration process.
  •  The service agreement will automatically terminate when the User deletes their account or the Company deletes the account based on these Terms, Individual Terms, or a specific agreement.

Article 6 (Purpose of Use)

 Users may only use the Services for the following purposes:

  • (1)Management of procurement and purchasing operations.
  • (2)Conclusion of contracts and other related acts.
  • (3)Use of services affiliated with the Services.
  • (4)Activities necessary to accomplish the above purposes.

Article 7 (Use of the Services)

  •  Users may use the Services only after providing accurate and up-to-date information during the registration process.
  •  Users may terminate their use of the Services by voluntarily deleting their account.
  •  Upon account deletion by the User or the Company, all obligations owed by the User to the Company become immediately due.
  •  Users must not allow third parties to use their accounts. All use of an account will be regarded as conducted by the registered User.
  •  The Company will not disclose passwords or other confidential information necessary for using the Services to third parties.
  • The rights granted to Users for the Services are non-exclusive, revocable, non-transferable, and cannot be sublicensed.

Article 8 (Methods of Notification)

 The Company may provide information related to the Services and the Company to Users via the following methods:

  • (1)Email sent to the address provided during the registration process.
  • (2)Notifications on the website where the Services are provided.
  • (3)Other methods agreed upon by the Company and the User.

Article 9 (Personal Information)

 The handling of personal and privacy-related information is governed by the Privacy Policy. Users may use the Services only if they agree to the Privacy Policy.

Article 10 (Intellectual Property Rights)

  •  The intellectual property rights of any materials related to the Services (e.g., text, images, programs) that are not created by the User belong to the Company or those who have granted the Company the right to use such intellectual property.
  •  The Company may use information provided by the User (excluding personal information) for:
    • (1)Identifying the User.
    • (2)Research and development to expand the Services.
  •  To identify the sender, the Company may provide information submitted by the User when transmitting legal documents through the Services to third parties. Please refer to the Privacy Policy for details on the handling of personal information in such cases.

Article 11 (Disclaimer)

  •  The Company assumes no responsibility for any damages, disputes, or disadvantages arising from the User's use of the Services.
  •  The Company does not provide legal advice through the content of the Services. Users are encouraged to consult a legal professional for any legal concerns.
  •  The Company does not guarantee the accuracy of content on websites linked from the Services or the advertisements displayed on the Services' website.
  •  If the Company is found liable, compensation will not exceed the total amount the User has paid to the Company for the Services, except in cases of willful misconduct or gross negligence.

Article 12 (Suspension of Services)

  •  The Company may suspend all or part of the Services without prior notice in the following cases:
    • (1)Maintenance or inspection of the systems required to provide the Services.
    • (2)Force majeure, such as natural disasters, that make providing the Services difficult.
    • (3)Other situations where the Company determines that providing the Services is impossible or difficult.
  •  Upon User request, the Company may transfer data or take other measures deemed appropriate if the Services are suspended.

Article 13 (Prohibited Conduct)

  •  Users are prohibited from engaging in the following acts:
    • (1)Violating these Terms, Individual Terms, or specific agreements.
    • (2)Conduct that violates laws or may do so.
    • (3)Providing false information or impersonating others.
    • (4)Using the Services to gather competitive information.
    • (5)Unauthorized access using automated means.
    • (6)Distributing harmful programs, such as computer viruses.
    • (7)Illegally using IDs or passwords.
    • (8)Other acts deemed inappropriate by the Company.
  •  The Company may delete the User's account or terminate the service agreement without prior notice if prohibited conduct is detected.
  •  Users are liable for damages incurred by the Company as a result of their prohibited conduct.

Article 14 (Termination)

 The Company may terminate the service agreement and delete the User's account if the User engages in prohibited conduct or is subject to bankruptcy or similar proceedings.

Article 15 (Governing Law and Jurisdiction)

 Disputes between the Company and the User regarding the Services shall be governed by Japanese law and subject to the exclusive jurisdiction of the Tokyo District Court or Tokyo Summary Court for the first instance.
